If you do not agree, please do not use our Site or services. We may update these Terms at any time by posting revisions on the Site; changes take effect immediately upon posting.
2. Services
SwiftSite provides custom web design, development, hosting, and maintenance services to local businesses. A separate Project Agreement (Scope of Work) will define the specific details of each project (scope, timeline, deliverables, fees). This Privacy Policy and these general Terms govern all interactions, but the Project Agreement (when signed) sets the detailed obligations for that project.
3. Client Responsibilities
- Content and Materials: You must provide all necessary materials for your project (text, images, logos, etc.) in a timely manner and in the requested format. You guarantee that you have the legal right to use and publish any content you supply (for example, you own or have license to provide images or text). You agree to indemnify and hold SwiftSite harmless from any claims arising from content you provide.
- Feedback and Approval: You agree to review work in a timely fashion and provide clear feedback. You will be responsible for the final approval of the website. If delays are caused by late feedback or unavailability of required information, the project timeline and fees may be adjusted.
- Cooperation: You must cooperate with SwiftSite by communicating preferences and changes promptly during development and maintenance.
4. Fees and Payment
- Fees: Project fees will be quoted in a proposal and in U.S. Dollars. We typically require a non-refundable deposit (often 50%) to begin work. The remaining balance is due upon project completion, before website launch or delivery of final files.
- Invoices: We will invoice you according to the agreed schedule. If any fees are late, we reserve the right to charge interest at 1.5% per month (or the maximum allowed by Texas law). SwiftSite does not process payments through the website; payments are made by invoice (credit card, bank transfer, etc.) as agreed.
- Taxes: You are responsible for any applicable taxes or duties unless exempted by law.
5. Intellectual Property
- Your Content: You retain ownership of all content you provide (logos, text, images, etc.). We only use your content for purposes of building and delivering your project. You indemnify us if your content infringes others' rights.
- Deliverables: Upon full payment, you own the final website design and code written specifically for your project, and SwiftSite grants you a perpetual license to use the delivered website for your business. We will deliver all project files and materials to you at completion.
- Our Pre-existing Materials: SwiftSite retains ownership of any pre-existing intellectual property (such as frameworks, code libraries, templates, or tools) used in your project. We grant you a license to use those parts only as embedded in your delivered site. You may not copy or use our proprietary code outside this project.
- Portfolio Rights: SwiftSite retains the right to display the completed project (including screenshots, descriptions, and your company name) in our portfolio and marketing materials.
6. Revisions and Approval
Your Project Agreement will specify the number of design revisions included. Any additional changes beyond the agreed number of revisions may incur extra charges. You are responsible for reviewing and approving each stage of work (design mockups, development builds, etc.) before proceeding. Once you give final written approval, the project is considered accepted.
7. Hosting and Maintenance
- Hosting: If we provide hosting as part of your project, we will host the website on our secured servers (e.g., Google Cloud) with an uptime commitment (typically 99.9%) and maintain backups of your site.
- Maintenance: As part of a maintenance plan, SwiftSite will perform agreed-upon updates, security patches, and fixes within a reasonable timeframe. Emergency fixes may be made immediately or prioritized according to plan. Additional work (beyond the plan) will be billed separately. You are responsible for providing access credentials (FTP, CMS, etc.) for hosted sites.
- Third-Party Accounts: Any third-party services needed for your site (e.g. domain registration, premium plugins, email service) are your responsibility. We can assist in setup, but you will need your own accounts and payments to those vendors.
8. Disclaimer of Warranties
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. SWIFTSITE PROVIDES THE SERVICES "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND. To the fullest extent permitted by Texas law, SwiftSite disclaims all warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose. We do not guarantee that the site will be error-free or uninterrupted, or that all content or functions will meet your requirements.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWIFTSITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim related to these Terms or services shall not exceed the fees you paid us for the project. This limitation applies to all causes of action, including contract, tort, and warranty claims.

You agree to indemnify and hold SwiftSite and its officers, employees, and agents harmless from any claims, losses, liabilities, damages, or expenses (including attorney fees) arising out of your breach of these Terms or your use of our services. These Terms and any related agreements are governed by the laws of the State of Texas (without regard to conflict-of-law principles). Any legal action or proceeding arising out of or related to these Terms shall be brought in state or federal courts in Harris County, Texas (Houston), and you consent to personal jurisdiction there.
